1. Acceptance of Terms
These Terms of Service, along with the SwapKit API License and Privacy & Data Policy, form a binding legal agreement between you (“User”) and SwapKit, Inc., a Delaware corporation.
By accessing or using our site or services, you accept and agree to be bound by these Terms. If you do not agree, do not use the services.
2. Important Notices
- Our services are not offered to Restricted Persons or Restricted Territories.
- We require binding arbitration for disputes. See the “Disputes” section.
3. Description of Services
SwapKit provides SDKs, APIs, and smart contracts that allow businesses to integrate blockchain services into their apps. We offer a Standard Plan and customizable Bespoke Plans. Learn more at swapkit.dev.
4. SwapKit’s Role
We are a software provider. We do not provide financial advice, hold custody of digital assets, or execute asset transfers. Users must consult independent legal and financial advisors.
5. Electronic Consent
By using our platform, you provide your informed electronic consent and agree to abide by these legally binding terms.
6. User Eligibility
Users must:
- Be of legal age and compliance with laws in their jurisdiction.
- Not be listed on sanctions or embargo lists.
- Not facilitate transactions for or with Restricted Persons or Territories.
- Use the platform legally and securely.
7. User & Customer Conduct
Users may not:
- Engage in unlawful, fraudulent, or abusive activities
- Violate intellectual property rights
- Transmit malware, spam, or harmful code
- Exploit the platform for gambling or unauthorized commercial use
Users must also ensure that their Customers comply with all applicable laws and SwapKit’s terms.
8. Third-Party Content and Services
SwapKit is not responsible for third-party websites, services, APIs, or blockchain operations. Use these integrations at your own risk.
9. Data & Information Disclaimer
Any information shared via SwapKit is for convenience only and provided “as-is” without warranty.
10. Intellectual Property
All SwapKit branding, code, and content are protected by intellectual property laws. See the API License for more info.
11. Confidential Information
You may not disclose, share, or misuse any confidential information provided by SwapKit unless required by law.
12. No Professional or Fiduciary Advice
We do not offer legal, tax, or investment advice. Use SwapKit services at your own risk. No fiduciary relationship is created through usage.
13. Updates to Terms
Terms may be updated at any time. Continued use of services indicates acceptance of the new terms.
14. Force Majeure
We are not liable for events beyond our control (e.g., natural disasters, network failures, cyberattacks).
15. Disclaimers
The platform is provided “as-is” and “as-available.” We disclaim all warranties, express or implied. We do not guarantee uptime, performance, or blockchain/network integrity.
16. Limitation of Liability
Our total liability is limited to the greater of $100 or the amount you paid us in the last 6 months. We are not liable for indirect, incidental, or consequential damages.
17. Assumption of Risk
- You understand and accept all risks of blockchain, crypto, and internet-based technologies.
- You must secure your private keys and wallet access.
- You are responsible for any taxes resulting from your activity.
18. Regulatory Disclaimers
Blockchain services are subject to rapidly evolving regulations. We may restrict services based on legal or commercial sustainability grounds.
19. Indemnification
You agree to defend, indemnify, and hold harmless SwapKit and its affiliates from claims related to your use of the Site or Services.
20. Governing Law & Venue
These Terms are governed by Delaware law. Disputes must be resolved in courts located in Delaware or via arbitration in Miami, FL.
21. Arbitration Agreement
All disputes are subject to binding arbitration administered by JAMS under Florida law. No class actions or jury trials permitted.
22. Termination
SwapKit may suspend or terminate your access to the platform at any time, without notice, for any reason, especially for violations of these Terms.
23. Miscellaneous
- These Terms are the complete agreement between you and SwapKit.
- You may not assign these Terms without our written consent.
